Invoiceum Terms of Service

These Terms of Service (“Terms”) govern access to and use of Invoiceum, including its websites, applications, invoice pages, document-generation tools, blockchain monitoring features and related services (collectively, the “Service”).

By creating an account, using the Service, submitting information through an Invoiceum document or interacting with an Invoiceum payment page, you agree to the provisions of these Terms that apply to you.

1. Purpose of the Service

Invoiceum is a software and document-management platform.

The Service may help users:

• create invoices, payment confirmations, statements and related records;
• collect information supplied by customers or counterparties;
• retrieve and organise information from public blockchains, public registries and other publicly accessible or lawfully provided sources;
• associate blockchain transactions with invoices or other records;
• generate human-readable reports and document packages;
• verify that an Invoiceum-generated document has not been altered after issuance.

Invoiceum provides technical infrastructure only. Invoiceum is not a bank, payment institution, accounting firm, law firm, tax adviser, auditor, certification authority, identity-verification provider, credit-rating agency or government authority.

2. No Custody or Payment Processing

Unless a separate product is expressly identified as a regulated payment service, Invoiceum:

• does not receive, hold, safeguard or control cryptocurrency or fiat funds;
• does not possess or manage users’ private keys or seed phrases;
• does not initiate, authorise, redirect, divide, reverse or refund blockchain transactions;
• does not provide escrow services;
• does not exchange cryptocurrency for fiat currency or other cryptocurrency;
• does not guarantee settlement of any invoice.

Payments are made directly between the payer and the wallet address specified by the invoice issuer.

The invoice issuer is solely responsible for confirming that the wallet address, blockchain network, token contract, payment amount and other payment instructions are correct and under the intended recipient’s control.

3. No Certification, Verification or Professional Advice

Invoiceum does not certify or independently validate:

• the identity of any user, customer, payer or invoice issuer;
• the accuracy or completeness of user-submitted information;
• ownership or control of a wallet, unless a feature expressly states that a specific wallet-control verification has been completed;
• the existence, delivery, legality, quality or value of goods or services described in an invoice;
• the source, destination or lawful origin of funds;
• compliance with KYC, KYB, KYT, AML, tax, accounting or sanctions requirements;
• the authenticity of supporting documents uploaded by users;
• the legal status of any transaction.

Any customer, counterparty or business information shown by the Service must be treated as user-submitted or source-derived information, not independently verified information, unless expressly stated otherwise.

Invoiceum does not provide legal, accounting, tax, compliance or financial advice. Users should obtain advice from qualified professionals in their applicable jurisdiction.

4. Sources and Accuracy of Information

Information processed by Invoiceum may come from:

• account holders and their authorised users;
• customers, payers and counterparties completing requested fields;
• public blockchains and blockchain nodes;
• public corporate, government or commercial registries;
• publicly accessible websites and databases;
• third-party data, infrastructure or analytics providers.

Public availability does not guarantee accuracy, completeness, legality or reliability.

Invoiceum does not warrant that blockchain records, timestamps, exchange rates, transaction classifications, risk indicators, registry information or third-party data are accurate, complete, current or suitable for a particular purpose.

Users remain responsible for reviewing all information before relying on it or including it in a Generated Document.

5. User Content and Responsibility

“User Content” means information, documents, wallet addresses, invoice descriptions, customer details, files and other materials submitted to the Service by or on behalf of a user.

Users represent and warrant that:

• their User Content is accurate to the best of their knowledge;
• they have the legal right and lawful basis to collect, upload and process it;
• providing the User Content does not violate privacy, confidentiality, intellectual-property or other rights;
• requested customer information is reasonably necessary for a legitimate business purpose;
• they will provide all notices and obtain all consents required by applicable privacy law;
• they will not request excessive, irrelevant or unlawfully obtained personal information.

Users must not collect government identification documents, authentication credentials, financial account passwords, seed phrases, private keys or special-category personal data through Invoiceum unless the Service expressly provides a feature designed and approved for that purpose.

Users retain ownership of their User Content. They grant Invoiceum a limited licence to host, process, reproduce and display User Content only as necessary to operate, secure and improve the Service and fulfil the user’s instructions.

6. Generated Documents

Invoices, payment confirmations, statements, customer-information summaries and other documents created through the Service (“Generated Documents”) are informational records assembled from User Content, blockchain data and other identified sources.

Generated Documents:

• are not bank statements;
• are not government-issued documents;
• are not audited financial statements;
• are not proof of legal ownership;
• are not proof that goods or services were delivered;
• are not AML, KYC, KYB or KYT certificates;
• are not legal opinions regarding the source or legality of funds.

A digital signature, document hash or Invoiceum verification page confirms only that a document was generated through Invoiceum and has not been altered since the relevant signature or hash was created. It does not confirm the accuracy, truthfulness or legality of the document’s contents.

7. No Guarantee of Acceptance

Invoiceum does not guarantee that any Generated Document will be accepted or considered sufficient by:

• banks or payment institutions;
• cryptocurrency exchanges;
• tax authorities;
• courts;
• auditors or accountants;
• compliance departments;
• law-enforcement agencies;
• immigration or licensing authorities;
• any other public or private organisation.

Acceptance depends on the recipient’s procedures, applicable law, transaction circumstances and any additional evidence requested.

Users are responsible for determining what documents and records they are legally required to retain or submit.

8. Blockchain and Cryptocurrency Risks

Users acknowledge that cryptocurrency transactions may be irreversible and may be affected by:

• incorrect wallet addresses or networks;
• unsupported or counterfeit token contracts;
• blockchain congestion and fees;
• delayed or insufficient confirmations;
• chain reorganisations, forks or outages;
• smart-contract vulnerabilities;
• price volatility;
• sanctions or compliance restrictions;
• loss or compromise of private keys.

Transaction matching performed by Invoiceum is an informational technical function. A successful match does not prove wallet ownership, contractual performance, customer identity, lawful source of funds or final legal settlement.

9. Acceptable Use

Users may use Invoiceum only for lawful and legitimate purposes.

Users must not use the Service to:

• commit or facilitate fraud, phishing, impersonation or deception;
• send unsolicited, misleading or fabricated invoices;
• request payment for goods or services that were not ordered;
• misrepresent an affiliation, licence, approval or certification;
• falsely claim that Invoiceum verified or endorsed a person or transaction;
• evade taxes or conceal taxable income;
• launder criminal proceeds or obscure the source of funds;
• evade sanctions, asset freezes or financial restrictions;
• finance terrorism or proliferation;
• process proceeds of ransomware, theft, extortion or other crime;
• sell prohibited or illegal goods or services;
• infringe intellectual-property, privacy or confidentiality rights;
• collect seed phrases, private keys, passwords or other authentication credentials;
• interfere with the security or operation of the Service;
• evade a previous suspension or permanent ban.

Invoiceum maintains a zero-tolerance policy toward fraud, phishing, invoice scams and deliberate financial deception.

10. Abuse Reports, Investigation and Enforcement

Invoiceum may provide mechanisms for reporting suspected fraud, unsolicited invoices, phishing, impersonation or other abuse.

Where Invoiceum reasonably suspects a violation, it may:

• restrict access to an invoice or document;
• immediately suspend an account while the matter is reviewed;
• permanently terminate an account;
• preserve relevant records;
• block associated accounts, domains, wallet addresses or devices;
• notify affected users;
• cooperate with competent authorities;
• disclose information where permitted or required by applicable law.

Invoiceum may take urgent action without prior notice when reasonably necessary to prevent harm, preserve evidence, comply with law or protect users and the public.

Invoiceum does not guarantee that every report will be investigated or resolved and is not responsible for adjudicating commercial disputes between buyers and sellers.

11. Privacy and Disclosure of Information

Invoiceum does not sell or rent personal information.

Invoiceum does not routinely or voluntarily submit users’ invoices, transaction histories or customer records to tax authorities.

However, Invoiceum may process or disclose information:

• to hosting, infrastructure, email, security, analytics, support and other service providers acting on our behalf;
• where instructed or authorised by the relevant user;
• to comply with applicable law, a court order, subpoena or other valid legal process;
• to respond to lawful requests from tax, regulatory or law-enforcement authorities;
• to investigate, prevent or report suspected fraud, money laundering, sanctions evasion, threats or other illegal conduct;
• to protect the rights, security and safety of Invoiceum, its users or other persons;
• in connection with a merger, acquisition, financing or sale of all or part of the business, subject to appropriate safeguards.

Where legally permitted and appropriate, Invoiceum may require authorities to provide valid legal process before disclosing non-public information. Invoiceum may be prohibited from notifying the affected user.

12. Public and Shared Documents

Users may create documents accessible through public or unlisted links. Anyone who obtains such a link may be able to access the document.

Users are responsible for:

• selecting appropriate visibility settings;
• sharing links only with intended recipients;
• avoiding unnecessary personal information;
• revoking or disabling links when access is no longer required.

Invoiceum does not guarantee that a recipient will keep a shared document confidential.

13. Account Security

Users are responsible for protecting their account credentials, email account, authentication devices and wallet keys.

Users must notify Invoiceum promptly of suspected unauthorised account access.

Invoiceum is not responsible for losses caused by compromised credentials, compromised wallets, malicious browser extensions, user devices, user error or instructions submitted through an apparently authorised account, except where liability cannot legally be excluded.

14. Fees and Subscriptions

Certain features may require a paid subscription.

Subscription prices, billing periods, limits and included features are displayed at the time of purchase. Unless stated otherwise, subscriptions renew automatically until cancelled.

Users may cancel future renewal through their account settings. Payments already made are non-refundable except where required by law or expressly stated in a separate refund policy.

Invoiceum may change prices or feature limits upon reasonable advance notice.

15. Third-Party Services

The Service may rely on or link to blockchains, nodes, blockchain explorers, exchanges, price feeds, registries and other third-party services.

Invoiceum does not control and is not responsible for third-party availability, accuracy, security, policies or conduct.

Use of third-party services may be governed by separate terms.

16. Intellectual Property

The Service, including its software, design, branding, templates and documentation, is owned by Invoiceum or its licensors.

Subject to these Terms, Invoiceum grants users a limited, non-exclusive, non-transferable and revocable right to use the Service for lawful internal business purposes.

Users may download and use Generated Documents created from their own User Content, subject to applicable law and third-party rights.

17. Service Provided “As Is”

To the maximum extent permitted by law, the Service is provided “as is” and “as available.”

Invoiceum disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy and regulatory acceptance.

Invoiceum does not guarantee that the Service will be uninterrupted, error-free, secure or permanently available.

Users should maintain independent copies of important documents and records. Invoiceum is not a substitute for a legally required accounting or record-retention system unless expressly agreed in writing.

18. Limitation of Liability

To the maximum extent permitted by law, Invoiceum will not be liable for:

• indirect, incidental, special, punitive or consequential damages;
• loss of profits, revenue, business, reputation, data or cryptocurrency;
• payments sent to an incorrect address or network;
• rejected documents or failed compliance reviews;
• inaccurate User Content or third-party information;
• disputes between invoice issuers and payers;
• blockchain failures, transaction reversals or smart-contract issues;
• actions taken by banks, exchanges, regulators or authorities.

Invoiceum’s total aggregate liability arising from the Service will not exceed the greater of:

1. the fees paid by the affected user to Invoiceum during the twelve months preceding the event giving rise to the claim; or
2. USD 100.

Nothing in these Terms excludes liability that cannot legally be excluded, including liability for fraud, wilful misconduct or other mandatory statutory rights.

19. Indemnification

To the extent permitted by law, users agree to indemnify Invoiceum against claims, losses, penalties and reasonable costs arising from:

• their User Content;
• their goods, services, invoices or commercial disputes;
• their violation of these Terms or applicable law;
• their unlawful collection or processing of personal information;
• their misuse of Generated Documents;
• their infringement of third-party rights.

20. Suspension and Termination

Users may stop using the Service at any time.

Invoiceum may suspend or terminate access where reasonably necessary due to:

• a violation of these Terms;
• suspected fraud or illegal activity;
• security or sanctions risk;
• non-payment;
• a lawful authority request;
• material risk to Invoiceum, users or third parties.

Before closing an account, users should export all records they are legally required to retain. After termination, data may be deleted or retained according to the Privacy Policy, applicable law and legitimate fraud-prevention or evidentiary requirements.

21. Changes to These Terms

Invoiceum may update these Terms to reflect changes to the Service, law, security requirements or business operations.

Material changes will be communicated through the Service or by email where appropriate. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent.

22. Governing Law and Disputes

These Terms are governed by the laws of [JURISDICTION], excluding conflict-of-law rules.

Any dispute will be subject to the exclusive jurisdiction of the courts of [CITY, COUNTRY], unless mandatory law provides otherwise.

Before filing a claim, the parties agree to attempt to resolve the dispute by contacting legal@invoiceum.com.

23. General Provisions

If any provision is found unenforceable, the remaining provisions remain in effect.

Failure to enforce a provision is not a waiver.

Users may not assign these Terms without Invoiceum’s consent. Invoiceum may assign them as part of a merger, reorganisation or sale of the business.

These Terms, together with the Privacy Policy and any applicable order or subscription terms, constitute the entire agreement concerning the Service.
